Terms of Service

By accessing or using the Bexvon platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Bexvon ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes. If you are using the Service on behalf of a law firm or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization. You must be at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you are accessing the Service from a jurisdiction where the use of such services is prohibited by law, you must discontinue use immediately.

Bexvon is a cloud-based platform designed to assist attorneys and law firms in managing their daily operations. The Service includes, but is not limited to, the following features: matter and case management with matter standing, conflict of interest checking with fuzzy matching and conflict reporting, IOLTA trust accounting with three-way reconciliation, jurisdiction-aware deadline calculation and statute of limitations tracking, encrypted client communication and secure messaging, time tracking and billing with LEDES invoice export, document management and assembly with e-signature capabilities, client intake and engagement letter workflows, calendar management with court date integration, staff coordination and workload distribution, compliance monitoring and audit trail generation, and workflow automation and notification systems. The Service is provided as a software-as-a-service (SaaS) solution accessible through web browsers and mobile applications. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with reasonable notice to you when practicable. New features or tools added to the current Service shall also be subject to these Terms.

To access the Service, you must create an account by providing accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You are responsible for ensuring that all users within your organization who access the Service through your account comply with these Terms. Each user within your organization must have a unique account, and sharing of account credentials between individuals is strictly prohibited. You must not use another user's account without their permission. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete. As a legal professional, you are solely responsible for ensuring that your use of the Service complies with all applicable rules of professional conduct, bar regulations, and ethical obligations in your jurisdiction. This includes, without limitation, your obligations regarding client confidentiality, conflict of interest management, trust account handling, and communication requirements.

BEXVON IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. The Service is a technology platform that provides tools for legal practice management. Nothing in the Service, these Terms, or any communication from Bexvon should be construed as legal advice, the formation of an attorney-client relationship, or a substitute for the professional judgment of a licensed attorney. While we implement robust security measures, encryption protocols, and privilege-preserving features within the Service, we do not and cannot guarantee that the use of the Service will satisfy all requirements for attorney-client privilege or work product protection in every jurisdiction. The determination of whether any communication or document is protected by attorney-client privilege, work product doctrine, or any other legal protection is a legal question that depends on the specific facts and circumstances and the applicable law in your jurisdiction. You should consult with a qualified attorney in your jurisdiction regarding the scope and applicability of attorney-client privilege and other legal protections. You are solely responsible for taking all steps necessary to protect privileged communications and work product, including properly designating confidential materials, limiting access to authorized individuals, and implementing appropriate ethical walls and security measures within your organization. Bexvon shall not be liable for any loss of privilege or confidentiality resulting from your use or misuse of the Service.

You agree not to use the Service in any way that violates applicable laws, regulations, or the rules of any bar association or regulatory body. You shall not: (a) use the Service to store, transmit, or process any material that is unlawful, defamatory, harassing, or otherwise objectionable; (b) attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means; (c) use the Service to send unsolicited bulk communications (spam); (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (f) use automated scripts, bots, or scrapers to access the Service without our prior written consent; (g) use the Service to engage in the unauthorized practice of law or to facilitate the unauthorized practice of law by non-attorneys; (h) upload or transmit any viruses, malware, or other harmful code through the Service; (i) use the Service to circumvent ethical walls, conflict checks, or other compliance safeguards; (j) represent that the Service provides legal advice or that Bexvon is a law firm; or (k) use the Service in any manner that could damage, disable, overburden, or impair any Bexvon server or network. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing offending content, suspending or terminating the accounts of such violators, and reporting violations to law enforcement or relevant bar authorities.

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable subscription fees as described at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are quoted in US dollars and are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change our pricing at any time, provided that we give you at least thirty (30) days' advance notice of any price increase. Price increases will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the price increase takes effect. We use third-party payment processors to handle billing, and your payment information is stored and processed in accordance with their security standards. We do not store your full credit card number on our servers. If your payment method fails or your account is past due, we may suspend your access to the Service until the outstanding balance is paid. You are responsible for all charges incurred under your account, including charges incurred by authorized users within your organization. For annual subscriptions, you may request a prorated refund within the first thirty (30) days of your initial purchase. After that period, annual subscriptions are non-refundable. Monthly subscriptions may be cancelled at any time, but no refund will be issued for the remainder of the current billing period.

You retain all right, title, and interest in and to all data, documents, communications, and other content that you upload, create, or store in the Service ("User Data"). Bexvon does not claim any ownership interest in your User Data. We act as a data processor on your behalf, and we will process your User Data only in accordance with your instructions and as necessary to provide the Service. We implement industry-standard security measures to protect your User Data, including encryption at rest and in transit, access controls, and regular security audits. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security. You are responsible for implementing appropriate access controls within your organization to limit access to User Data to authorized individuals. You may export your User Data at any time in standard formats. Upon termination of your account, we will retain your User Data for a period of sixty (60) days to allow you to export your data, after which it will be permanently deleted from our systems, except where retention is required by law. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to our Privacy Policy.

The Service and all of its contents, features, and functionality — including but not limited to software, text, graphics, logos, icons, images, audio clips, data compilations, and the design, selection, and arrangement thereof — are owned by Bexvon, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription, subject to these Terms. This license does not include: (a) the right to modify, adapt, or create derivative works based on the Service; (b) the right to use any data mining, robots, or similar data gathering methods; (c) the right to download or copy any portion of the Service except as expressly permitted; or (d) the right to use the Service for competitive analysis or to develop a competing product. Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you. The "Bexvon" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bexvon. You may not use these marks without our prior written permission.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEXVON, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE TOTAL LIABILITY OF BEXVON TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED US DOLLARS ($100). THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BEXVON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Bexvon, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, actions, demands, liabilities, and settlements, including without limitation, legal fees and costs, arising out of or alleged to arise out of: (a) your breach of these Terms; (b) your use of the Service, including any content you upload or transmit through the Service; (c) your violation of any laws, regulations, or rules of professional conduct; (d) your violation of any rights of another party, including intellectual property rights, privacy rights, or attorney-client privilege; or (e) any dispute between you and any third party related to your use of the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. The indemnification obligations under this section will survive the termination of these Terms and your use of the Service.

You may terminate your account at any time by contacting us or using the account settings within the Service. Upon termination, your right to use the Service will immediately cease. We reserve the right to suspend or terminate your account, without prior notice or liability, for any reason, including without limitation if you breach these Terms, engage in conduct that we determine to be inappropriate or harmful to Bexvon or other users, or if we receive a court order or legal requirement from a competent authority. Upon termination for cause, you will not be entitled to any refund of fees previously paid. Upon termination for convenience by you, the provisions of Section 6 regarding refunds shall apply. Upon any termination, the following provisions shall survive: Sections 4, 7 (as to data previously processed), 8, 9, 10, 11, 12, and 13. We will retain your User Data for sixty (60) days following termination to allow you to export your data, after which it will be permanently deleted from our production systems, subject to our legal retention obligations. We may retain anonymized, aggregated data derived from your use of the Service for analytical and service improvement purposes.

These Terms shall be governed by applicable law. Any dispute arising out of or relating to these Terms or the Service may be brought in a court of competent jurisdiction. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms constitute the entire agreement between you and Bexvon regarding the Service and superses any prior agreements, whether written or oral, regarding the subject matter hereof. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in effect. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
